1. Master Service Agreement & Legal Scope

These Master Terms of Service ("Agreement") constitute a binding contract between Doccu (Pty) Ltd ("Doccu", "we", "us", or "our") and the corporate entity, Skills Development Provider ("SDP"), employer sponsor, or individual subscriber ("Customer", "you", or "your") accessing or utilizing the Doccu document management and digital signing platform.

By creating an account, administering learner cohorts, dispatching folios, or executing agreements on Doccu, you agree to be bound by this Agreement, our Privacy Policy, our Data Processing Agreement (DPA), and our Acceptable Use Policy.

2. Electronic Signatures Validity & ECT Act Compliance

Doccu operates as an advanced electronic transaction platform governed by the Electronic Communications and Transactions Act No. 25 of 2002 ("ECT Act") of South Africa. Under Section 13 and Section 15 of the ECT Act:

  • Electronic signatures executed via Doccu have full statutory legal validity and enforceable evidentiary weight in South African courts.
  • Each signature and completed document folio is bound with a cryptographic SHA-256 Merkle audit trail recording IP addresses, authenticated timestamps, user agents, and tamper-evident event hashes.
  • Neither party may challenge the legal validity or enforceability of a signed document solely on the grounds that it was executed electronically or in data message form.

3. Platform Availability & 99.9% Uptime Service Level Agreement (SLA)

Doccu commits to providing a minimum 99.9% monthly uptime SLA across our production application and signing APIs, excluding planned maintenance windows announced at least 48 hours in advance.

If Doccu fails to meet the 99.9% uptime commitment in any calendar month, eligible customers on paid subscription tiers may request proportionate service fee credits in accordance with our SLA escalation schedule.

4. Subscriptions, Invoicing & PAYG Consumption

Doccu offers tiered subscription access (Free, Weekly, and Monthly tiers) supplemented by a Pay-As-You-Go ("PAYG") top-up engine for SMS/WhatsApp signer dispatches, identity verification credits, and high-volume encrypted storage:

  • Billing Cycles: Subscription fees are billed in South African Rand (ZAR) in advance via our authorized payment gateway, PayFast.
  • PAYG Balances: PAYG wallet credits do not expire as long as your account remains active and in good standing.
  • Usage Limits: Account allocations (active cohorts, templates, document folios) are enforced according to your active tier limits.

5. Account Governance & Security Obligations

You are responsible for maintaining the confidentiality of your administrative credentials. Doccu enforces robust security controls, including Two-Factor Authentication (2FA) for administrators and granular role-based access control (Admin, Trainer/Editor, Viewer). You must immediately notify our Information Officer of any unauthorized account access.

6. Customer Document & Data Ownership

You retain all right, title, and interest in and to all document templates, uploaded PDFs, learner records, and evidence attachments ("Customer Data"). Doccu acquires no intellectual property rights in your agreements or training materials. Doccu is granted a strictly limited license to host, process, and transmit Customer Data solely to perform the services requested.

7. Limitation of Liability & Disclaimers

To the maximum extent permitted under South African law, neither party shall be liable for indirect, incidental, consequential, or punitive damages. Doccu's aggregate cumulative liability arising out of or related to this Agreement shall be strictly capped at the total fees paid by you to Doccu during the twelve (12) months preceding the incident giving rise to liability.

8. Governing Law & AFSA Arbitration

This Agreement is governed by the laws of the Republic of South Africa. Any dispute arising out of or in connection with this Agreement shall be finally resolved in accordance with the Expedited Commercial Rules of the Arbitration Foundation of Southern Africa (AFSA) by an arbitrator appointed in accordance with said rules, seated in Gauteng, South Africa.

9. 30-Day Read-Only Grace Period & Purge Lifecycle

Upon subscription cancellation or account termination, Doccu automatically transitions your account into a 30-day read-only grace period. During this window, administrators can view and download all completed folios, ZIP packages, and audit trails. Following the expiration of 30 days, all customer data is permanently and irreversibly purged from primary databases in compliance with our POPIA data retention standards.
